CONSTITUTION
(adopted on 23 rd June 2006)
(Revised on 16th October 2015)


  1. Name
    The name of the association of parents and teachers of MARYMOUNT PRIMARY SCHOOL shall be "MARYMOUNT PRIMARY SCHOOL PARENT-TEACHER ASSOCIATION" (the "Association").
  2. Address
    The address of the Association shall be 22 Cloud View Road, North Point, Hong Kong or 336 Tai Hang Road, Happy Valley, Hong Kong (with effect from September 2006).
  3. Interpretation
    1. In this Constitution-
      “Alternate Parent Manager” means a Manager who is nominated for registration as such under section 40AO of the Ordinance;
      “AGMs” means the Annual General Meetings;
      “Annual Subscription Fee” means the fee payable in accordance with Clause [7] herein by each Member (other than Teacher members) for the purpose of subscribing for the membership of the Association;
      “Association Funds” shall have the meaning given to it in Clause [8]
      “Constitution” means this Constitution as amended, varied or modified from time to time;
      “EGMs” means General Meetings which are not AGMs;
      "Executive Committee" means the executive committee of the Association pursuant to Clause 10 herein;
      “General Assembly” has the meaning given to it in Clause 9.2 herein;
      “General Meetings” means the general meetings of the Association pursuant to Clause 14 herein;
      "Hong Kong" means the Hong Kong Special Administrative Region of the People's Republic of China;
      "IMC" means the incorporated management committee established under the Ordinance in respect of the School;
      “Members” means the members of the Association from time to time pursuant to Clause 5 herein;
      “Ordinance” means the Education Ordinance (Cap. 279)(as may be amended from time to time) and, unless the context otherwise requires, all subsidiary legislation made under the Ordinance;
      “Parent” means a parent or guardian of a current pupil of the School, or a person who is not the parent or guardian of the pupil but has the actual custody of a current pupil of the School;
      “Parent Member” means the persons who are Members by virtue of Clause 5.1(a) herein;
      “Parent Manager” means a Manager who is nominated for registration as such under section 40AO of the Ordinance;
      “Principal” means the principal of the School;
      “Returning Officer” shall have the meaning given to it in Clause 15.3 herein;
      “School” means Marymount Primary School;
      "SSB" means the sponsoring body of the School approved by the Permanent Secretary, namely, HKCLC Education Institute Company Limited;
      "Supervisor" means the supervisor of the School, and the acting supervisor of the School, appointed in accordance with the constitution of the IMC and the Ordinance;
      “Teacher Member” means the serving teachers of the School as defined by the Ordinance who are Members by virtue of Clause 5.1(b) herein;
    2. Where the context so requires, words importing the singular number brinclude the plural number,and words importing the plural number include the singular, and words importing the masculine gender include the feminine gender and neuter gender and vice versa.
  4. Aims
    The aims of the Association shall be:
    • to strengthen communication between parents and the School;
    • to promote co-ordination between home and school education;
    • to promote, establish and maintain home-school cooperation and a better home-school relationship;
    • to promote communication and exchange of views in matters of mutual concern; and
    • to foster a concerted effort in improving the welfare of students.
  5. Membership
    1. Members shall consist of the following persons:
      • Parents who have subscribed to become Members from time to time (“Parent Members”);
      • present Supervisor, Principal, Vice Principal and teachers of the School (“Teacher Members”); and
      • past Chairpersons of the Association who are ipso facto permanent honorary members of the Association.
    2. All Parents are eligible to subscribe to become Parent Members.
    3. Member who is not a past Chairperson of the Association shall cease to be a Member automatically if he/she is:
      • a Parent Member whose child has ceased to be a current pupil of the School, unless he/she has another child who is a current pupil of the School; or
      • a Teacher Member who is no longer in employment with the School.
    4. Membership for Parent Member shall be deemed to have ceased if the Annual Subscription Fee payable by such Parent Member remains unpaid for more than three months from its due date.
    5. Honorary members shall not be required to pay any membership fee and shall enjoy all privileges of the Association but shall have no control over the management and no voting rights.
  6. Rights and Obligations of Members
    1. Only Parents Members and Teachers Members shall have the right to elect or be elected as the members of the Executive Committee.
    2. Subject to Clauses 5.1 (a) and (b) and 5.3 herein, all Parent Members and Teacher Members shall have the right to attend and vote at all General Meetings.
    3. Members shall have the following obligations:
      • To observe the articles of this Constitution;
      • To abide by the decisions of the Executive Committee and the resolutions passed at any General Meetings; and
      • To pay the Annual Subscription Fee for membership save for Teacher Members and Honorary Members who shall not be required to pay any Subscription Fee.
    4. Each Parent Manager irrespective of the number of his/her children enrolled at the School shall have one vote at all General Meetings.
  7. Subscription
    1. Each Member shall pay an Annual Subscription Fee. The Executive Committee shall stipulate the amount, due date and manner of payment of such Annual Subscription Fees from time to time.
    2. All the Annual Subscription Fees collected shall be used entirely for the welfare of the Association and the pupils of the School.
    3. All official receipts shall be issued by one of the Honorary Treasurers.
    4. All Annual Subscription Fees once paid shall not be refunded.
  8. Finance
    1. The financial expenditure of the Association in every financial year ending 31 August shall not exceed the total amount of the Annual Subscription Fees collected in that financial year and any reserve of funds accumulated and/or any donations of funds received by the Association (the "Association Funds") .
    2. The liabilities of members of the Executive Committee are limited to the Annual Subscription Fees for the year only. Members of the Executive Committee shall not be liable for any debts and/or liabilities incurred by the Association.
    3. Subject to Clause 8.1, the Executive Committee shall have the power to grant at its discretion any sums of money from the Association Funds to the School to be used for scholarships, prizes or other purposes and the Principal shall have full authority to use the sums so granted.
    4. The Association may accept donation of any kind at the discretion of the Executive Committee.
  9. Organization
    1. The organization of the Association shall consist of a General Assemblyand an Executive Committee.
    2. The General Assemblyshall be the highest authority of the Association and be composed of all Members. When the General Assemblyis in recess, all matters of the Association shall be conducted by the Executive Committee.
    3. The General Assemblyshall hold an AGM and may hold EGMs, and all such General Meetings shall be convened by the Executive Committee.
    4. The Executive Committee shall meet at least twice in an academic year with a quorum of over 50%. All decisions shall be made official and binding only if over half of the Members present vote in favour.
  10. Executive Committee
    1. The Executive Committee shall be composed of 18 members as follows:
      • the present Supervisor, Principal and Assistant Principal of the School and one teacher co-ordinator appointed by the Principal, all being ex-officio members;
      • 9 Parent Members elected by the General Assembly at the AGM by secret ballot; and
      • 5 Teacher Members of the School appointed by the Principal.
    2. The 11 office-bearers of the Executive Committee shall be composed of the following:
      • 1 Chairperson, who shall be a Parent Member;
      • 1 Vice-Chairperson, who shall be a Parent Member;
      • 2 Honorary Secretaries, one of whom shall be a Parent Memberand the remaining one shall be a Teacher Member;
      • 2 Honorary Treasurers, one of whom shall be a Parent Memberand the other one shall be a Teacher Member;
      • 3 Activities Officers, who shall be Parent Members;
      • 1 Publication Officer, who shall be a Parent Member; and
      • 1 Liaison Officer, who shall be a Parent Member.
    3. The 9 office-bearers who are Parent Members shall be selected by members of the Executive Committee. Otherwise, they or any of them shall be elected by secret ballot by Parent Members. The 2 office-bearers who are Teacher Membersshall be selected by the Principal.
    4. The members of the Executive Committee shall retire from office at every AGM but will be eligible for re-election.
    5. The term of office of all members of the Executive Committee shall be from the close of one AGM to the next inclusive, subject only to the restriction that Parent Members shall not serve for more than 4 consecutive terms. The outgoing Parent Members of the Executive Committee who have served for 4 consecutive terms are barred from running for office of the Executive Committee immediately after the cessation of their office. Such outgoing Parent Members, if they so wish, shall only run for office of the Executive Committee after the lapse of one year and shall be eligible for election at the next AGM.
    6. Members with the highest votes received shall be elected as members of the Executive Committee. Only Members personally attending the AGM shall be entitled to vote for the Election of Members of the Executive Committee.
    7. If the number of candidates standing for election to the Executive Committee at the AGM is equal to or less than the number of vacancies to be filled, then no voting is required and all such candidates shall be deemed to be elected automatically.
    8. The Executive Committee shall have the power to co-opt Parent Members and Teacher Members to fill vacancies occurring during its term, or otherwise to join the Executive Committee as co-opted members in addition to the 18 members of the Executive Committee, but in the latter case, such additional co-opted members shall not have any right to vote at Executive Committee meetings .
    9. During any one term, no 2 or more Parentsof the same pupil of the School shall serve on the Executive Committee concurrently.
    10. At all meetings of the Executive Committee, each member of the Executive Committee present in person, save the additional co-opted members, shall have one vote, and the Chairperson shall have a second or casting vote in the case of an equality of votes.
  11. Duties of the Executive Committee Members
    1. The duties of the Chairperson include the following:
      • To carry out the resolutions passed at any General Meetings and the decisions of the Executive Committee;
      • To ensure the smooth day-to-day running of the Association;
      • To endorse all official documents of the Association; and
      • To express and exchange views on education matters on behalf of the Parent Members of the Association.
    2. The duties of the Vice-Chairperson include the following:
      • To assist the Chairperson in performing his/her duties; and
      • To act on behalf of the Chairperson in carrying out his/her duties in his/her absence.
    3. The duties of the Honorary Secretaries include the following:
      • To write minutes and reports for all AGM, EGM and meetings of the Executive Committee; and
      • To deal with all correspondence of the Association.
    4. The duties of the Honorary Treasurers include the following:
      • To keep up-to-date accounts of the Association; and
      • To prepare and present the audited financial statements of the Association at the AGM.
    5. The duties of the Activities Officers include taking charge of all matters relating to organized activities of the Association.
    6. The duties of the Publications Officer include taking charge of all matters relating to publications, and promotion of activities of the Association.
    7. The duties of the Liaison Officer include being responsible for contacting parents from time to time in relation to any activities/events organised by the Association.
  12. Honorary Legal Adviser
    The General Assembly of the AGM shall appoint an Honorary Legal Adviser who shall provide legal advice to the Association from time to time as requested by the Association.
  13. Honorary Auditor
    The General Assembly of the AGM shall appoint an Honorary Auditor who shall audit at least once a year the accounts of the Association with the financial year ending 31 August.
  14. General Meeting
    1. The AGM shall be held in September or October each year. The exact date of the AGM in any one year shall be decided by the Executive Committee. Not less than 3 weeks' notice in writing shall be given to Membersfor all AGMs. Such notice shall contain the agenda of the AGM, and shall state the time and place of the AGM to be held. It shall be served on all Membersby post and/or by hand through the pupils and/or staff of the School. Any accidental omission to give notice of the AGM to, or the non-receipt of such a notice by, any Memberentitled to receive the AGM notice shall not invalidate the proceedings at the AGM.
    2. The quorum of the AGM shall be 50 Members. If at any AGM there be no quorum, the AGM shall be adjourned to a date decided by the Executive Committee. At the adjourned AGM any number of Memberspresent shall make a quorum.
    3. The Chairperson shall preside as chairperson at every General Meeting, or if he/she shall not be present within 15 minutes after the time appointed for the holding of the meeting or is unwilling to act or is absent from Hong Kong or has given notice to the Association of his/her intention not to attend the meeting, the Executive Committee members present shall elect one of their members to be chairperson of the meeting.
    4. Each Member present in person shall have one vote at all General Meetings. A motion shall be carried or a resolution passed if the majority of the Members present vote in favour of it. The Chairperson shall have a second or casting vote in the case of an equality of votes.
    5. The EGM may be convened by the Executive Committee at its own initiative or at the request of over half of all the Members of the Association who shall raise such a request in written form bearing their signatures to the Chairperson. In the latter case, the Chairperson shall cause the EGM to be held within 15 days of receipt of the request. Discussions held and resolutions passed at the EGM shall be confined to those issues set out in the request.
    6. Insofar as the calculation of votes, notice requirement and quorum for the AGM are concerned, Clauses 14.1 to 14.4above shall apply to the EGM, except that the notice period for the EGM shall be not less than one week.
  15. Election of Parent Manager and Alternate Parent Manager to the IMC
    1. The election for nominating persons for registration as Parent Manager and Alternate Parent Manager shall be conducted in accordance with the Ordinance and this Clause and the guidelines for election of Parent Manager.
    2. All Parents are eligible candidates to be elected as Parent Manager or Alternate Parent Manager except a Parent who is at the same time the Supervisor, the Principal, a teacher employed by the School, or a Manager in any other capacity.
    3. The Executive Committee of the PTA shall assign a person who may be elected amongst the office bearers of the PTA or a teacher to be the Returning Officer (who must not be a candidate for the Parent Manager election) to monitor and supervise the election, the issue of ballot papers and counting of votes.
    4. The election shall be conducted by the PTA.
    5. The election shall be by secret ballot conducted on a day to be appointed by the Executive Committee (the “Election Day”).
    6. Not less than [21] days before the Election Day, the Returning Officer shall give notice in writing to all Parents (the “Election Notice”) by post and/or by hand through the pupils and/or staff of the School. The Election Notice shall –
      1. specify:
        • the Election Day;
        • the time and venue of the Election;
        • the eligibility and responsibilities of the candidate;
        • the period and method of nomination of candidates for the Parent Manager election;
        • the number of the Parent Manager and/or Alternate Parent Manager vacancy; and
        • the arrangements for counting of votes and declaration of election result;
      2. invite all Parents to attend the Election Day;
      3. be accompanied by a nomination form inviting eligible parents to nominate within 7 days himself or nominate another eligible parent as candidate to stand for the election and provide a brief statement of his/her personal information of not more than [80] words;
      4. be accompanied by a copy of the text of this clause;
      [Note: The Principal should approach and encourage the potential PTA Ex Co to stand as candidates. She will also have 21 days to approach those other Parents who said yes to the invitation to explain to them about the responsibilities and the level of commitment required. If they choose to continue to stand as candidates, the person shall be included in the list of candidates]
    7. Not less than [7] days before the Election Day, the Returning Officer shall give notice in writing to all Parents, whether by post and/or by hand through the pupils and/or staff of the School which shall include a list of the names of all candidates (the “Candidates”) together with their statements.
    8. On the Election Day, the Returning Officer shall at the time specified in the notice, conduct the election and adopt the following election procedure when the election is to take place:
      • conduct the election;
      • distribute the Ballot Papers, list of Candidates and voting arrangements (“Voting Arrangements”) to the Parents;
      • invite the Candidate to give a brief introduction of themselves of not more than three minutes to the Parents present and answer any questions from them.
    9. No Parent shall be allowed to leave the room once the ballot papers are distributed until the Returning Officer declares the vote closed;
    10. The Candidate who obtains the greatest number of votes shall be nominated by the PTA as Parent Manager, and the Candidate who obtains the second greatest number of votes shall be nominated by the PTA as Alternate Parent Manager in accordance with the Ordinance.
    11. If the voting results in an equality of votes, the result shall be determined by drawing lots. The Candidate on which the lot falls shall be deemed to have obtained more votes.
  16. Amendments to the Constitution & Dissolution of the Association
    1. Any amendment to the Constitution must be approved by a two-thirds majority of Memberspresent at an AGM or EGM.
    2. The Association shall be dissolved if two-thirds of the Members are in favour of such dissolution, or upon the decision of the Incorporated Management Committee of the School in consultation with the Executive Committee of the Association.
    3. The assets of the Association in the case of dissolution shall be disposed of by the Incorporated Management Committee of the School in conformity with the aims of the Association as set out in Clause 4.

      • all parents or guardians of pupils presently enrolled at the School;
      • present Supervisor, Principal and teachers of the School; and
      • past Chairpersons of the Association and past Supervisor(s) and Principal(s) of the School who are ipso facto permanent honorary members of the Association.
    2. Honorary members shall not be required to pay any membership fee and shall enjoy all privileges of the Association but shall have no control over the management and no voting rights.
    3. Should any past Chairperson(s) stand for and subsequently be elected as an Executive Committee member of the Association, the honorary member status of such past Chairperson(s) will be temporarily suspended during his or her term of office as an Executive Committee member.
    4. A member shall cease to be a member automatically if he/she is:
      • a parent or guardian of pupil(s) who are no longer enrolled at the School; or
      • a teacher who is no longer in employment with the School.
    5. Membership shall be deemed to have ceased if the annual subscription fee payable by such member remains unpaid for more than three months from its due date.
  5. Rights and Obligations of Members
    1. Members shall have the right to elect the members of the executive committee of the Association ("Executive Committee") and to be elected as members thereof.
    2. Members shall have the right to attend and vote at all General Meetings (as defined in Article 8.2) of the Association.
    3. Members shall have the following obligations:

    4. The Executive Committee shall meet at least twice in an academic year with a quorum of over 50%. All decisions shall be made official and binding only if over half of the members present vote in favour.
  9. Executive Committee
    1. The Executive Committee shall be composed of 18 members as follows:
      • (a) the present Supervisor, Principal and Assistant Principal of the School and one teacher co-ordinator appointed by the Principal, all being ex-officio members;
      • 9 parents elected by the General Meeting at the AGM by secret ballot; and
      • 5 teachers of the School appointed by the Principal.
    2. The 11 office-bearers of the Executive Committee shall be composed of the following:
      • 1 Chairperson, who shall be a parent-member;
      • 1 Vice-Chairperson, who shall be a parent-member;
      • 2 Honorary Secretaries, one of whom shall be a parent-member and the remaining one shall be a teacher-member;

The term of office of all members of the Executive Committee shall be from the close of one AGM to the next inclusive, subject only to the restriction that parent-members shall not serve for more than 4 consecutive terms. The outgoing parent-members of the Executive Committee who have served for 4 consecutive terms are barred from running for office of the Executive Committee immediately after the cessation of their office. Such outgoing parent-members, if they so wish, shall only run for office of the Executive Committee after the lapse of one year and shall be eligible for election at the next AGM.
    6. The members of the Executive Committee shall be elected by members with the highest votes received. Election of Executive Committee members shall be done by voting of members personally attending the AGM.
    7. If the number of candidates standing for election to the Executive Committee at the AGM is equal to or less than the number of vacancies to be filled, then no voting is required and all such candidates shall be deemed to be elected automatically.
    8. The term of office of the parent-members of the 8 th Executive Committee shall be subject to the restriction as laid down in Article 9.5 hereof and such parent-members shall not hold office for more than 4 consecutive terms.
    9. The Executive Committee shall have the power to co-opt members to fill vacancies occurring during its term, or otherwise to join the Executive Committee as co-opted members in addition to the 18 members of the Executive Committee, but in the latter case, such additional co-opted members shall not have any right to vote at Executive Committee meetings .
    10. During any one term, no 2 parent(s) of the same pupil of the School shall serve on the Executive Committee concurrently.
    11. At all meetings of the Executive Committee, each member of the Executive Committee present in person, save the additional co-opted members, shall have one vote, and the Chairperson shall have a second or casting vote in the case of an equality of votes.

    4. Each member present in person shall have one vote at all General Meetings. A motion shall be carried or a resolution passed if the majority of the members present vote in favour of it. The Chairperson shall have a second or casting vote in the case of an equality of votes.
    5. The EGM may be convened by the Executive Committee at its own initiative or at the request of over half of all the members of the Association who shall raise such a request in written form bearing their signatures to the Chairperson. In the latter case, the Chairperson shall cause the EGM to be held within 15 days of receipt of the request. Discussions held and resolutions passed at the EGM shall be confined to those issues set out in the request.
    6. Insofar as the calculation of votes, notice requirement and quorum for the AGM are concerned, Articles 11.1 to 11.4 above shall apply to the EGM, except that the notice period for the EGM shall be not less than one week.
  12. Amendments to the Constitution & Dissolution of the Association
    1. Any amendment to the Constitution must be approved by a two-thirds majority of members present at an AGM or EGM.
    2. The Association shall be dissolved if two-thirds of the members are in favour of such dissolution, or upon the decision of the Management Committee of the School in consultation with the Executive Committee of the Association.
    3. The assets of the Association in the case of dissolution shall be disposed of by the Management Committee of the School in conformity with the aims of the Association as set out in Article 3.
  13. Auditing of Accounts of the Association
    The AGM shall appoint an Honorary Auditor who shall audit at least once a year the accounts of the Association with the financial year ending 31 st August.
  14. Legal Adviser of the Association
    The AGM shall appoint an Honorary Legal Adviser who shall provide legal advice to the Association from time to time, or as requested by the Association.
